These Terms of Use (hereinafter referred to as "these Terms") set forth the conditions for using the online shop (hereinafter referred to as "the Service") provided by YOLO Co., Ltd. (hereinafter referred to as "the Company") on this website. Registered users (hereinafter referred to as "users") shall use the Service in accordance with these Terms.

Article 1 (Application)

Article 3 (Management of User ID and Password)

1. Users shall manage their user ID and password for the Service at their own responsibility.
2. Users may not transfer, lend, or share their user ID and password with third parties under any circumstances. The Company considers the use of a user ID and password combination that matches the registered information as use by the registered user themselves.
3. The Company shall not be liable for any damages caused by the use of the user ID and password by a third party, except in cases of intentional or gross negligence by the Company.

Article 4 (Sales Contract)

1. In the Service, a sales contract is established when the user applies for purchase to the Company and the Company notifies the user of acceptance of the application. Ownership of the product shall transfer to the user when the Company hands over the product to the delivery company.
2. The Company may cancel the sales contract in the preceding paragraph without prior notice to the user if the user falls under any of the following reasons.
   1. When the user violates these Terms
   2. When delivery of goods cannot be completed due to unknown delivery address or long-term absence
   3. Other cases where the Company recognizes that the trust relationship with the user has been damaged
3. Payment methods, delivery methods, cancellation methods for purchase applications, or return methods related to the Service shall be according to methods separately determined by the Company.

Article 5 (Intellectual Property Rights)

Copyrights and other intellectual property rights of product photos and other content provided through the Service (hereinafter referred to as "Content") belong to the Company and legitimate rights holders such as content providers, and users may not reproduce, reprint, modify, or otherwise use them secondarily without permission.

Article 6 (Prohibited Matters)

Users shall not engage in the following acts when using the Service.

1. Acts that violate laws or public order and morals
2. Acts related to criminal activities
3. Infringement of copyrights, trademark rights, or other intellectual property rights included in the Service
4. Acts that destroy or interfere with the functions of the Company's servers or networks

Article 7 (Suspension of Service Provision, etc.)

Article 8 (Usage Restrictions and Deregistration)

1. Our company may, without prior notice, restrict the use of all or part of this service or delete the user's registration if any of the following apply.
   1. If any provision of these terms is violated
   2. If it is found that there are false facts in the registration details
   3. If the credit card registered by the user as a payment method is suspended
   4. If there is a failure to fulfill payment obligations such as fees
   5. If there is no response to our contact for a certain period
   6. If there is no use of this service for a certain period since the last use
   7. Other cases where our company deems the use of this service inappropriate
2. Our company assumes no responsibility for damages incurred by users due to actions taken under this article.

Article 9 (Withdrawal)

Users may withdraw from this service by following the prescribed withdrawal procedures.

Article 10 (Disclaimer of Warranties and Liability)

1. Our company does not guarantee that this service is free from actual or legal defects (including defects related to safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, security, errors, bugs, or rights infringement).
2. Our company assumes no responsibility for any damages incurred by users through this service. However, if the contract between our company and the user regarding this service (including these terms) is a consumer contract under the Consumer Contract Act, this disclaimer does not apply. 3. Our company assumes no responsibility for transactions, communications, or disputes between users or between users and third parties related to this service.

Article 11 (Changes to Service Content, etc.)

Our company may change the content of this service or suspend its provision without notifying users and assumes no responsibility for any damages caused to users thereby.

Article 12 (Changes to Terms of Use)

Our company may change these terms at any time without notifying users if deemed necessary. If a user starts using the service after changes, the user is deemed to have agreed to the revised terms.

Article 13 (Handling of Personal Information)

Our company will appropriately handle personal information obtained through the use of this service in accordance with our "Privacy Policy."

Article 14 (Notices or Communications)

Notices or communications between users and our company shall be conducted by methods prescribed by our company. Unless a change notification is submitted according to the method separately specified by our company, the currently registered contact information will be considered valid, and notifications or communications will be sent to that contact, which shall be deemed received by the user upon sending.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or pledge their position under the usage contract or rights or obligations under these terms to third parties without prior written consent from our company.

Article 16 (Governing Law and Jurisdiction)

1. The interpretation of these terms shall be governed by Japanese law. Furthermore, the application of the United Nations Convention on Contracts for the International Sale of Goods is excluded regarding this service.
2. In case of disputes related to this service, the court having jurisdiction over our company's head office location shall have exclusive jurisdiction.

Article 17 (Deletion of User-Posted Information, etc.)

If we determine that reviews or other information posted by users on this service fall under any of the following items, we may delete or hide all or part of such information without prior notice to the user.

1. If it contains content that differs from the facts
2. If it infringes on the rights of our company or third parties, or damages reputation or credibility
3. Other cases where our company deems it inappropriate
4. Our company assumes no responsibility for any damages incurred by users due to measures taken based on this article.

Our company strictly prohibits orders for resale purposes except for authorized dealers.

Thanks to you, many customers use our service, but for some orders, we have confirmed that they are for resale purposes, such as bulk purchases, excessive multiple orders, or large shipments to the same address.

If we determine that an order is suspected to be for resale purposes, it will be considered a violation of the terms, and we may cancel the order, suspend the user registration, refuse all future orders, and take legal action if necessary.

Also, regarding products handled by our company purchased outside this site, such as on auction sites or flea market sites, we cannot take any responsibility for any troubles, losses, or damages including quality deterioration due to storage conditions. Please understand this in advance.
