User Guide

These terms of use (hereinafter referred to as "these terms") set forth the conditions for the use of the online shop (hereinafter referred to as "this service") provided by YOLO Corporation (hereinafter referred to as "the company") on this website. Registered users (hereinafter referred to as "users") shall use this service in accordance with these terms.

Article 1 (Application)

1. These terms shall apply to all relationships regarding the use of this service between the user and the company.
2. The company may establish various rules and regulations (hereinafter referred to as "individual provisions") in addition to these terms regarding this service. These individual provisions shall constitute a part of these terms regardless of their name.
3. If the provisions of these terms contradict the individual provisions of the preceding section, the provisions of the individual provisions shall take precedence unless otherwise specified in the individual provisions.

Article 2 (Registration for Use)

1. In this service, the registration will be completed when the applicant for registration applies for use in accordance with the method specified by the company after agreeing to these terms, and the company notifies the applicant of the approval.
2. If the company determines that the applicant for registration has any of the following reasons, it may not approve the application for registration, and shall have no obligation to disclose the reasons.

   2. If the application is from someone who has previously violated these terms

Article 3 (Management of User ID and Password)

1. The user shall manage their user ID and password for this service at their own responsibility.
2. The user may not transfer or lend their user ID and password to a third party, or share them with a third party under any circumstances. The company considers the use of the user ID to be by the user themselves if the combination of the user ID and password matches the registered information.
3. The company shall not be liable for any damages arising from the use of the user ID and password by a third party, except in cases of intentional misconduct or gross negligence on the part of the company.

Article 4 (Sales Contract)

1. In this service, a sales contract is established when the user applies for a purchase to the company and the company notifies the user of the acceptance of that application. The ownership of the product shall transfer to the user when the company hands over the product to the delivery service.
2. The company may terminate the sales contract mentioned in the previous section without prior notice to the user if the user falls under any of the following reasons.
   1. If the user violates these terms
   2. If the delivery cannot be completed due to an unknown delivery destination or long-term absence
   3. Any other case where the trust relationship between the company and the user is deemed to be compromised.
3. Payment methods, delivery methods, cancellation methods for purchase applications, or return methods related to this service will be determined separately by the company.

Article 5 (Intellectual Property Rights)

The copyrights and other intellectual property rights of product photos and other content provided by this service (hereinafter referred to as "Content") belong to the company and legitimate rights holders such as content providers, and users may not reproduce, reprint, modify, or otherwise use them without permission.

Article 6 (Prohibited Acts)

Users must not engage in the following acts when using this service.

1. Acts that violate laws or public order and morals
2. Acts related to criminal activities
3. Acts that infringe on copyrights, trademark rights, or other intellectual property rights included in this service
4. Acts that destroy or interfere with the functions of our servers or networks
5. Commercially utilizing information obtained through this service
6. Acts that may interfere with the operation of our services
7. Unauthorized access or attempts to do so
8. Collecting or accumulating personal information, etc., about other users
9. Impersonating other users
10. Acts that directly or indirectly provide benefits to antisocial forces in connection with our services
11. Any act deemed inappropriate by the company

Article 7 (Suspension of Service Provision, etc.)

1. The company may suspend or interrupt the provision of all or part of this service without prior notice to the user if it determines that any of the following reasons exist.
   1. When performing maintenance inspections or updates on the computer system related to this service
   2. If the provision of this service becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
   3. If computers or communication lines are interrupted due to an accident
   4. In addition, if our company determines that the provision of this service is difficult
2. Our company shall not be liable for any disadvantages or damages suffered by users or third parties due to the suspension or interruption of the provision of this service, regardless of the reason.

Article 8 (Use Restrictions and Cancellation of Registration)

1. Our company may, without prior notice, restrict the use of all or part of this service or cancel the registration of the user if any of the following applies.
   1. If there is a violation of any provision of these terms
   2. If it is found that there are false facts in the registered information
   3. If the credit card reported by the user as a payment method has been suspended
   4. If there is a default in the payment obligations such as fees
   5. If there is no response to communications from our company for a certain period
   6. If there has been no use of this service for a certain period since the last use
   7. In addition, if our company determines that the use of this service is inappropriate
2. Our company shall not be liable for any damages incurred by users as a result of actions taken by our company under this article.

Article 9 (Withdrawal)

Users may withdraw from this service through the prescribed withdrawal procedure.

Article 10 (Disclaimer of Warranty and Limitation of Liability)

1. Our company does not guarantee that there are no defects (including defects related to safety, reliability, accuracy, completeness, validity, suitability for a particular purpose, security, etc., as well as errors, bugs, and infringements of rights) in this service, either factually or legally.
2. Our company shall not be liable for any damages incurred by users as a result of this service. However, if the contract between our company and the user regarding this service (including these terms) constitutes a consumer contract as defined by the Consumer Contract Act, this disclaimer shall not apply. Even in this case, our company shall not be liable for damages incurred by the user due to non-performance or tort caused by our negligence (excluding gross negligence) that arise from special circumstances (including cases where our company or the user could foresee the occurrence of damages).
3. Our company shall not be liable for any transactions, communications, or disputes that arise between users and other users or third parties in relation to this service.

Article 11 (Changes to Service Content, etc.)

We may change the content of this service or discontinue the provision of this service without notifying the user, and we will not be responsible for any damages incurred by the user as a result.

Article 12 (Changes to Terms of Use)

We may change these terms at any time without notifying the user if we deem it necessary. If the user begins to use the service after the changes to these terms, they will be deemed to have agreed to the revised terms.

Article 13 (Handling of Personal Information)

We will appropriately handle personal information obtained through the use of this service in accordance with our "Privacy Policy."

Article 14 (Notifications or Communications)

Notifications or communications between the user and our company shall be conducted in the manner specified by us. Unless the user submits a change notification in accordance with the method separately specified by us, we will consider the currently registered contact information to be valid and will notify or communicate to that contact, and these will be deemed to have reached the user at the time of sending.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer their status under the usage contract or rights or obligations under these terms to a third party, or use them as collateral, without our prior written consent.

Article 16 (Governing Law and Jurisdiction)

1. In interpreting these terms, Japanese law shall be the governing law. Furthermore, the application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded in relation to this service.
2. In the event of a dispute regarding this service, the court having jurisdiction over our head office location shall be the exclusive agreed jurisdiction court.

We strictly refuse orders intended for resale, except for authorized dealers.

Thanks to you, we have many customers using our services, but for some orders, we have confirmed that they are for resale purposes, such as bulk purchases, excessive multiple orders, and large shipments to the same address.

If we determine that there are concerns about orders for resale purposes, it will be considered a violation of the terms, and we may cancel the order and suspend the user registration, as well as refuse all future orders, and take legal action if necessary.

Additionally, regarding products handled by our company purchased from sites other than this one, such as auction sites and flea market sites, we cannot be held responsible for any troubles, losses, or damages, including quality degradation due to storage conditions.
